Introduction

Catric Corporation was formed in Houston, Texas in 1984 to render consulting, intermediation, and financial services to corporations and investors growing through merger and acquisition, nationally and internationally.

Our focus is to work closely with companies who are buyers of other companies. We get to know their needs intimately. We research and analyze the industries, markets, or technologies in which our clients are buyers to determine size, trend, potential, and competitive factors. We conduct searches for acquisition prospects who meet the growth criteria of our clients and secure their interest in an association with our client. We assist the buyer in negotiations and the closing of the transaction. Generally, the companies found by us for our buyers have not been "for-sale" and the transaction is often negotiated free of competitive bids. We also represent owners in the sale and/or recapitalization of their Companies.

We are capable of conducting all types of market and industry analysis in preparation for acquisitions and/or in assisting in the post integration of the acquisition into the acquiring group's organization. In 2006 we established a Branch office in Sydney, Australia to serve our clients interested in this growing Market.


Our Customers


We have an active client database of over 1,500 companies and equity investment groups in the market to acquire companies of all types. These clients make majority and/or minority equity investments; fund recapitalizations and industry consolidations; finance partners and founder buy-outs and back management teams with equity, mezzanine and debt capital. Between them, our clients currently own more than 10,000 middle market manufacturing, distribution, service and financial companies.

Our client base also includes "Fortune 500" type major American, Canadian, British, French, Dutch, German and Australian companies. We have a particularly strong client base in USA Private Equity Groups with available investment funds of $50 million to $10 billion who are looking to add companies to their existing extensive portfolios. Our clients preferred targets are companies with operating profits (EBIT/EBITDA) exceeding $1 million or not yet profitable, but rapidly growing new markets and technology companies. They collectively have over $150 billion available for such Investments at present.

In over 23 years we have also built up a broad base of contacts amongst owners of companies interested in selling all or part of their group. These are also an excellent source of "for-sale" situations that generate a steady deal flow.


Assignments


In recent years, we have successfully intermediated in over 80 transactions covering aerospace and automotive components, agricultural equipment, atrium office plants, candy and confectionary manufacturing, casters, central station based electronic security monitoring systems, chemicals, education and training, electronic components and sensors, engineering services, guard and electronic security services, internet services, management and strategic planning, material handling, medical diagnostic products, mortgage brokering, peripheral equipment for data processors, plastics and composite materials, residential construction for multi-family homes, sales promotion companies, general and specialized software, telecommunications, valve and pump manufacturers and waste water treatment equipment manufacturers. Aggregate value of transactions completed exceeds $600 million.


Technology

Our firm has made a substantial investment in hardware and software, giving us the capability to search hundreds of specialized data bases, containing millions of companies, to find the ideal prospects. In addition, we have an extensive reference and directory library and utilize numerous databases accessible via the Internet and outsource to specialist lead generation Firms.


Our People And Branches

All of our professional associates are mature, experienced line executives with extensive hands-on management experience, each gained through service with international, major corporations. Their academic backgrounds are in management, marketing, engineering, accounting/finance, management information systems, entrepreneurship and banking. Industry experience extends through automotive components and accessories, industrial products, branded consumer goods, waste management, banking, data processing, pharmaceuticals, chemical, engineering, manufacturing, fabrication, services and retail.


Networks

We have established relationships with Investment Bankers and other professional intermediaries throughout the USA and Canada as well as the UK, Western Europe, Australia and the Far East. Through these networks we are able to provide extensive global search and professional assistance.
We have also established working relationships with other specialists in equity and debt capital funding; legal, tax and accounting services; company and ESOP evaluations; executive search and compensation; real estate agents; venture capitalists; etc. and are able to bring in these functions on an as and when needed basis.


Venture Capital

We have established relationships with many of the leading Venture Capital Funds in the USA. Primary interest is in developed products or services in need of “roll-out” capital. We can help you produce a Business Plan that will attract the interest of these Venture Investors.
